Terms & Conditions
Last updated: September 26, 2026
These Terms & Conditions govern your access to and use of Majolio. Please read them carefully, because by using the Service you agree to be bound by them. If you use Majolio for an organisation, you confirm that you have the authority to accept these Terms for that organisation.
1. Acceptance of These Terms
These Terms & Conditions (the "Terms") govern your access to and use of the Majolio platform, websites, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms on behalf of yourself and any organisation you represent.
If you do not agree with these Terms, you must not access or use the Service. If you are using the Service for an organisation, you represent that you have the authority to bind that organisation to these Terms.
2. Eligibility and Accounts
You must be at least 18 years old and capable of entering into a binding contract to use the Service. Where you use the Service on behalf of a company or other legal entity, you confirm that you have the authority to accept these Terms for that entity.
You are responsible for the accuracy of the information you provide when registering, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Notify us promptly at support@majolio.com if you suspect any unauthorised access or security breach.
3. Description of the Service
Majolio is a software-as-a-service platform for project-based service businesses. It brings together sales and quotations, project and task management, invoicing and expenses, cash-flow tracking, and accounting and reporting in one connected system.
Features may differ by subscription plan, and we may add, modify, or discontinue features from time to time. The Service is provided for your internal business use and does not include professional accounting, legal, or tax advice.
4. Subscriptions, Fees, and Payment
Some parts of the Service are offered on a paid subscription basis, billed per seat on a monthly or yearly cycle. Where we offer a free trial, it is limited to the period stated and may be discontinued at any time.
Fees are due in advance and are non-refundable except where required by law. You are responsible for any taxes, levies, or duties payable on your subscription; prices are shown exclusive of value-added tax unless stated otherwise. We may change our fees on reasonable notice, and continued use of the Service after a change takes effect constitutes acceptance of the new fees.
- Subscriptions renew automatically for the same billing period until cancelled.
- You may cancel at any time, and access continues until the end of the paid period.
- We may suspend access for overdue amounts after reasonable notice.
- Invoices may be issued electronically and are due within the period stated on the invoice.
5. Customer Data and Content
You retain all rights to the data, documents, and other content you submit to the Service ("Customer Data"). You grant us a limited licence to host, process, transmit, and display Customer Data solely to provide and improve the Service and as described in our Privacy Policy.
You are responsible for the legality, accuracy, and quality of Customer Data, and for obtaining any consents required to submit it. You must not upload data that you do not have the right to share, and you should keep your own backups of any content that is important to you.
6. Acceptable Use
You agree to use the Service lawfully and only for its intended purpose. You must not attempt to disrupt, reverse engineer, scrape, resell, or gain unauthorised access to the Service, or use it to store or transmit unlawful, infringing, or malicious content.
We may suspend or terminate accounts that breach these rules, and we may report unlawful activity to the relevant authorities.
- Do not share accounts or credentials outside your organisation.
- Do not use the Service to send spam or unlawful communications.
- Do not attempt to bypass usage limits, security controls, or plan restrictions.
- Do not upload malware or content that infringes third-party rights.
7. Intellectual Property
Majolio and its licensors own all rights, title, and interest in the Service, including the software, design, text, graphics, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.
You may not copy, modify, distribute, sell, or lease any part of the Service, or remove any proprietary notices, without our prior written consent. Feedback you provide may be used by us without restriction or obligation to you.
8. Third-Party Services and Integrations
The Service may allow you to connect third-party products and services, such as payment providers, email, or accounting tools. Your use of those services is governed by their own terms and privacy policies, not ours.
We do not control and are not responsible for third-party services, including their availability, accuracy, or security. You are responsible for the accounts you connect and for any data you choose to share with them.
9. Availability, Support, and Changes to the Service
We aim to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or events beyond our reasonable control.
Support is provided by email at support@majolio.com, and response times may vary by plan. We may modify, update, or discontinue parts of the Service, and where a change materially reduces core functionality we will provide reasonable notice.
10. Disclaimers
The Service is provided on an 'as is' and 'as available' basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will meet your requirements, that reports or calculations will be error-free, or that data will never be lost. You are responsible for reviewing outputs and for compliance with the laws that apply to your business.
11. Limitation of Liability
To the maximum extent permitted by law, Majolio and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.
12. Indemnification
You agree to indemnify and hold harmless Majolio and its officers, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your Customer Data, or your breach of these Terms.
We will promptly notify you of any claim covered by this section and may participate in the defence. You may not settle any claim in a way that admits fault or imposes obligations on us without our prior written consent.
13. Termination and Suspension
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your account remains unpaid after notice.
On termination, your right to use the Service ends, and we may delete Customer Data in accordance with our Privacy Policy and retention practices. Sections that by their nature should survive termination, including Intellectual Property, Disclaimers, Limitation of Liability, and Indemnification, will continue to apply.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which the provider of the Service is established, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms will first be addressed through good-faith discussion.
Before starting formal proceedings, you and we agree to try to resolve any dispute amicably by contacting support@majolio.com. If a dispute cannot be resolved within a reasonable time, it will be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
15. Changes to These Terms
We may update these Terms from time to time to reflect changes in the Service, our practices, or the law. When we make material changes, we will provide notice through the Service or by email before the changes take effect.
Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree with the changes, you should stop using the Service and cancel your subscription.
